Sect. 1   Non-permission of service charges

Until the successful brokerage (conclusion of a tenancy agreement or letting agreement) the services of e-rent Immobilien Dr. Wirth KG are free of charge (pursuant to Sect. 3, Subsections 2 and 3 Wohnraumvermittlungsgesetz). If the brokerage is successful the tenant is subject to commission fees (according to Sect 2).


Sect. 2   Commission rates

The basis for the calculation of the commission is the legal nature of the brokered tenancy agreement. The following rules shall apply: For each tenancy of unlimited/open duration the commission rate is 1.5 monthly rents plus VAT (= 178.50% of a monthly rent including VAT).

Nevertheless for reasons of fair dealing and with regard for clients with shorter tenancy agreements we always offer a graded payment. The grading is based on the actual duration of the tenancy agreement; the commission fee is bound to the temporal extension of a tenancy. The basis for the calculation is stated as follows:

Naturally the percentage doesn’t define a sequence of monthly payments (for instance: in the first month a payment of 29,75%, followed by a payment of 47,60% in the second month, followed by and so on). In fact the particular percentage always lists the amount which is to be paid for the period in total.

The offer of a graded payment depending on the duration of the tenancy shall be revoked and replaced by the payment of the fixed commission of 1.5 monthly rents plus VAT (= 178.50% of a monthly rent including VAT) in the following cases: attempted fraud, non-payment of parts of the commission (see Sect 7), the obvious attempt to delay payments by means of the grading agreement, false or omitted notification (see Sect 3) of a successful brokerage.

In all cases, the basis for the calculation is the amount stated as the monthly rent by the landlord to e-rent (In the case of short-term tourist tenancy agreements (i.e. less than one month) the commission rate of 25% plus VAT (= 29.75% including VAT) shall not refer to a monthly rent but to the actual rent due.


Sect. 3   Obligation to notify

(a) Obligation to notify / successful brokerage: If a tenancy agreement between the offering party and the tenant is concluded through the brokerage of e-rent (or through the „opportunity to conclude an agreement” etc.) - be it through a written or an oral arrangement - e-rent has to be notified immediately.
(b) Notification period: The notification period shall be 3 working days (from the date when the respective proceedings were agreed).


Sect. 4   Due date / commission

A commission shall be paid if the offering party and the tenant conclude an agreement. The payment shall be due when the agreement is concluded (not after the date of the actual beginning of the agreement).


Sect. 5   Same landlord - different rental

It is not e-rent´s task to broker a certain rental, but to provide an opportunity to conclude an agreement (Bundesgerichtshof [Federal High Court of Justice], 1991). Accordingly, e-rent can also claim a commission if a tenancy agreement is concluded for an alternative object of the landlord/offering party. The commission rate shall be determined based on the nature of the accepted offer.


Sect. 6   Duty to observe secrecy

The client shall be obliged not to pass on offers received by e-rent to any third parties. In the case of unauthorized disclosure of information the client shall be liable to e-rent for damages (Bundesgerichtshof [Federal High Court of Justice], 1987). The amount of the payable damages shall be equivalent to the commission for the disclosed offer. Excluded from that are brokerages commissioned on behalf of a third party. The disclosure of the received information shall then be strictly limited to the person/-s for whom the brokerage has been commissioned. In these cases the formal commissioning party (company, parents, authorities etc.) shall additionally be liable for the respective person/-s (employees, children, applicants etc.) to comply with the above clause. Persons passing on the information (in particular legal persons) shall not be liable with regard to a certain third party but for all agreements concluded due to the disclosure.


Sect. 7   Extensions of tenancies

For tenancy agreements of unlimited duration/open tenancies the following shall apply: extensions, due to their nature, shall not be regarded as second agreements but as possibilities within the underlying tenancy agreement.

With Sect 2 E-rent provides his customers an opportunity to limit the commission fee to the de facto term of lease. As the accurate extent is not known by the beginning of the tenancy, the calculation usually takes place stepwise. If the pro tempore expected time of duration will be exceeded, E-rent will cast up the difference according to the scale.

With this procedure subsequent billings act as adjustment of the actual duration. They can not be classified as a commission fee for a new tenancy. Also the payment of subsequent billings can not be classified as a clearing for a recent period of a run out limited contract (or other certifiable valid claims according to the contract). As far as the end of the contract will be at a later date than expected, the previous payment ultimately has to be understood as a payment on account of the final commission fee.

Nevertheless the financial obligation for possible extensions ends if the maximum fee is reached (1.5 monthly rents plus VAT = 178.50% of a monthly rent including VAT).

If the tenant is a juristic person (company, institution, corporation and so on) the change of an individual occupier has no influence on the consistency of the contract.


Sect. 8   Place of jurisdiction

Place of jurisdiction in commercial dealings is Cologne.



Sect. 9   Cancellation policy

The texts dealing with the objection instruction are official compulsory texts. The German wording is regulated by law and must neither be changed nor added to. A translation is, therefore, forbidden to us.


Widerrufsrecht:

Sie haben das Recht, binnen vierzehn Tagen ohne Angabe von Gründen diesen Vertrag zu widerrufen. Die Widerrufsfrist beträgt vierzehn Tage ab dem Tag des Vertragsabschlusses. Um Ihr Widerrufsrecht auszuüben, müssen Sie der

mittels einer eindeutigen Erklärung (z. B. ein mit der Post versandter Brief, Telefax oder E-Mail) über Ihren Entschluss, diesen Vertrag zu widerrufen, informieren. Sie können dafür das beigefügte Muster-Widerrufsformular verwenden, das jedoch nicht vorgeschrieben ist. Zur Wahrung der Widerrufsfrist reicht es aus, dass Sie die Mitteilung über die Ausübung des Widerrufsrechts vor Ablauf der Widerrufsfrist absenden.

Folgen des Widerrufs:

Wenn Sie diesen Vertrag widerrufen, haben wir Ihnen alle Zahlungen, die wir von Ihnen erhalten haben, unverzüglich und spätestens binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über Ihren Widerruf dieses Vertrags bei uns eingegangen ist. Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das Sie bei der ursprünglichen Transaktion eingesetzt haben, es sei denn, mit Ihnen wurde ausdrücklich etwas anderes vereinbart; in keinem Fall werden Ihnen wegen dieser Rückzahlung Entgelte berechnet.

Haben Sie verlangt, dass die Dienstleistungen während der Widerrufsfrist beginnen soll, so haben Sie uns einen angemessenen Betrag zu zahlen, der dem Anteil der bis zu dem Zeitpunkt, zu dem Sie uns von der Ausübung des Widerrufsrechts hinsichtlich dieses Vertrags unterrichten, bereits erbrachten Dienstleistungen im Vergleich zum Gesamtumfang der im Vertrag vorgesehenen Dienstleistungen entspricht.
